1. PURPOSE OF THIS AGREEMENT

This Client Travel Agreement (“Agreement”) sets out the terms governing the relationship between SOLÉA TRAVELS CO. (“Soléa”, “we”, “us” or “our”) and the individual or individuals engaging our travel advisory, planning, concierge or booking support services (“you”, “your” or “Client”).

This Agreement is intended to sit alongside our Website Terms & Conditions, which continue to apply to your use of our website and services.

By engaging Soléa for travel services, you confirm that you have read, understood and agreed to this Agreement.

2. OUR ROLE

Soléa is an independent travel advisory and concierge business operated by Lyss Tetlow.

Our role may include researching, recommending, planning, coordinating and, where applicable, arranging travel services on your behalf.

Depending on the service requested, we may assist with:

  • destination research and recommendations;

  • bespoke itinerary design;

  • accommodation sourcing;

  • flights and transportation;

  • hotels and resorts;

  • cruises;

  • tours and experiences;

  • restaurant recommendations and reservations;

  • private aviation enquiries;

  • special occasions and celebrations;

  • preferred-partner benefits;

  • VIP arrangements;

  • destination support; and

  • general travel concierge services.

Our role and the specific services included in your engagement will depend on the service you have selected and will be confirmed with you before work begins.

3. OUR RELATIONSHIP WITH FORA TRAVEL

Soléa operates in partnership with Fora Travel, our host travel agency.

Where applicable, travel bookings may be facilitated, processed, paid for, ticketed or otherwise administered through Fora Travel and/or the relevant travel supplier.

Your travel arrangements may therefore be subject to:

  • Fora Travel's applicable terms;

  • supplier terms and conditions;

  • airline conditions of carriage;

  • hotel or resort booking conditions;

  • cruise terms;

  • tour operator terms; and

  • other applicable third-party conditions.

Where relevant, these terms will apply in addition to this Agreement.

If there is a conflict between this Agreement and mandatory terms governing a specific travel booking, the terms applicable to that booking will prevail to the extent required.

4. OUR SERVICES

The services we provide may vary depending on your individual requirements.

Before commencing work, we may provide you with a proposal, consultation confirmation, itinerary package, concierge package or other written description of the services to be provided.

Your service may include one or more of the following:

Travel Advisory

Advice and recommendations based on your destination, preferences, travel style, budget and requirements.

Bespoke Itinerary Planning

Research, itinerary development, destination recommendations and coordination of selected travel experiences.

Travel Booking Support

Assistance with researching and arranging selected travel services through our available booking channels and travel partners.

Concierge Services

Additional support such as restaurant requests, special occasions, experiences, transfers, amenities and other travel-related arrangements.

Ongoing Travel Support

Where included in your selected service, assistance before or during your trip with travel-related requests and supplier communication.

The exact scope of your service will be confirmed before we begin.

5. YOUR RESPONSIBILITIES AS A CLIENT

To enable us to provide an effective service, you agree to:

  • provide accurate and complete information;

  • communicate your travel requirements clearly;

  • inform us of relevant preferences or restrictions;

  • provide accurate traveller names and personal information;

  • review proposals and booking information promptly;

  • meet payment deadlines;

  • review travel documentation carefully;

  • notify us promptly of any errors;

  • obtain appropriate travel documentation;

  • ensure you meet passport, visa and entry requirements; and

  • inform us promptly of any changes to your circumstances or travel plans.

We rely on the information you provide when making recommendations and arranging services.

We cannot be responsible for additional costs or consequences arising from inaccurate, incomplete or late information provided by you.

6. TRAVEL PLANNING FEES

Soléa may charge a professional fee for travel advisory, itinerary planning, research and concierge services.

Any applicable fee will be disclosed to you before you engage our services.

Our fees are separate from the cost of your travel arrangements unless expressly stated otherwise.

A planning or advisory fee may cover the professional time involved in:

  • consultation;

  • research;

  • itinerary development;

  • supplier communication;

  • recommendations;

  • booking coordination;

  • revisions; and

  • other agreed services.

Unless otherwise agreed in writing, our professional service fee is not a deposit towards the cost of your travel.

7. COMMENCEMENT OF SERVICES

Our services will generally commence once you have:

  1. accepted our proposal or service;

  2. paid the applicable professional fee, where required; and/or

  3. instructed us to proceed with your travel arrangements.

Where a fee is required before work begins, we are not obliged to commence work until payment has been received.

8. ITINERARY DESIGN AND REVISIONS

Our itineraries are individually researched and prepared based on the information and preferences you provide.

Where your selected service includes itinerary revisions, the number of revisions included will be communicated to you before work begins.

Additional revisions or substantial changes to an itinerary may incur an additional fee where they require significant additional research or work.

Changes to travel dates, destinations, accommodation, transportation or other major elements after an itinerary has been prepared may require the itinerary to be redesigned.

9. TRAVEL BOOKINGS

Where you ask us to arrange travel services, we will endeavour to secure the requested arrangements based on availability at the time of booking.

A quotation, recommendation or proposed itinerary does not guarantee availability or price.

Travel arrangements are only considered confirmed once the relevant supplier or booking platform has accepted the booking and the required payment has been made.

Once confirmed, the booking will be subject to the applicable supplier and/or Fora Travel terms.

10. PRICES AND AVAILABILITY

Travel prices and availability can change at any time before a booking is confirmed.

Prices may be affected by:

  • availability;

  • demand;

  • currency fluctuations;

  • taxes;

  • supplier pricing;

  • government charges;

  • seasonal pricing;

  • room or cabin inventory; and

  • other supplier conditions.

We will communicate the applicable price to you before requesting confirmation wherever reasonably possible.

We cannot guarantee that a quoted price will remain available until payment or booking confirmation has been completed.

11. SUPPLIER TERMS AND THIRD-PARTY SERVICES

Travel services are supplied by independent third parties.

These may include airlines, hotels, resorts, cruise lines, tour operators, transportation providers, restaurants, experience providers, destination management companies and other suppliers.

Each supplier may have its own:

  • booking conditions;

  • payment deadlines;

  • cancellation policies;

  • amendment fees;

  • refund rules;

  • conditions of carriage;

  • health or safety requirements; and

  • other terms.

You agree to comply with the applicable terms of the supplier providing your travel service.

12. CANCELLATIONS AND CHANGES

Cancellation and amendment rights vary depending on the travel service and supplier.

Some arrangements may be fully refundable, partially refundable, non-refundable or subject to cancellation charges.

If you ask us to cancel or amend an arrangement, we will communicate with the relevant supplier where appropriate.

We cannot guarantee that a cancellation, refund, credit or amendment will be available.

Any supplier cancellation charges, amendment fees, fare differences or other costs remain your responsibility unless otherwise required by law.

Where significant additional work is required from Soléa to process changes, rebooking or complex cancellations, an additional service fee may apply where this has been disclosed or agreed with you.

13. NON-REFUNDABLE PROFESSIONAL FEES

Where you have purchased a professional travel planning, advisory or concierge service, our fee compensates us for the time and work undertaken on your behalf.

Unless otherwise stated in writing, once substantive work has commenced, our professional service fee is non-refundable, subject always to any rights you may have under applicable consumer law.

This does not affect any separate refund rights you may have in relation to travel services purchased from a supplier.

14. SPECIAL REQUESTS

We are happy to communicate reasonable special requests to suppliers where appropriate.

These may include:

  • room preferences;

  • connecting rooms;

  • dietary requirements;

  • accessibility requests;

  • celebrations;

  • birthday or anniversary arrangements;

  • early check-in;

  • late check-out;

  • preferred views;

  • amenities; and

  • other personalised requests.

Special requests are not guaranteed unless expressly confirmed by the relevant supplier.

15. PREFERRED PARTNER BENEFITS

Where available, Soléa may have access to preferred-partner programmes and benefits offered by participating hotels, resorts and other travel suppliers.

Depending on the supplier and booking, these may include benefits such as:

  • complimentary breakfast;

  • room upgrades;

  • property credits;

  • early check-in;

  • late check-out;

  • welcome amenities; or

  • other preferred benefits.

Benefits are subject to availability, eligibility and the relevant supplier programme.

Unless expressly confirmed, preferred benefits should not be considered guaranteed.

16. PASSPORTS, VISAS AND ENTRY REQUIREMENTS

You are responsible for ensuring that you hold all documents required for your journey.

This may include:

  • a valid passport;

  • visas;

  • electronic travel authorisations;

  • transit permissions;

  • health documentation; and

  • other entry requirements.

Requirements may differ depending on your nationality, residence, destination and transit arrangements.

We may provide general travel information or direct you towards official resources, but such information does not constitute immigration, legal or governmental advice.

You should independently verify current requirements with the relevant government, embassy, consulate or immigration authority before travelling.

17. TRAVEL INSURANCE

We strongly recommend that you obtain appropriate comprehensive travel insurance before travelling.

Your insurance should, where appropriate, provide protection for cancellation, curtailment, medical expenses, emergency assistance, baggage and travel disruption.

Soléa is not your insurer and does not accept responsibility for losses that could have been covered by appropriate insurance, except where otherwise required by law.

18. HEALTH, ACCESSIBILITY AND SPECIAL REQUIREMENTS

You are responsible for informing us of any health, mobility, accessibility, dietary or other practical requirements relevant to your travel arrangements.

Where requested, we will communicate these requirements to the relevant supplier.

However, the availability and suitability of facilities and services remain subject to confirmation by the relevant supplier.

19. CHANGES OR DISRUPTION TO TRAVEL

Travel arrangements can be affected by circumstances outside our control.

These may include:

  • severe weather;

  • natural disasters;

  • strikes;

  • transport disruption;

  • government restrictions;

  • border closures;

  • political instability;

  • civil unrest;

  • pandemics or epidemics;

  • war;

  • terrorism; or

  • other exceptional circumstances.

Where we become aware of a disruption affecting arrangements we have assisted with, we will endeavour to provide reasonable assistance and communicate with the relevant supplier where appropriate.

However, we cannot guarantee alternative arrangements, refunds, compensation or other remedies where these are outside our control.

20. PACKAGE TRAVEL

Some combinations of travel services may constitute a package under applicable UK package travel legislation.

Where Soléa is legally acting as the organiser of a package, the applicable package travel legislation and associated obligations will apply.

Where another business, including a tour operator or other travel company, is the organiser, that organiser's terms and applicable protections will govern the package.

The identity of the relevant organiser will be communicated in the booking documentation where required.

21. FINANCIAL PROTECTION

Financial protection depends on the nature of the booking and the party responsible for providing or organising the travel service.

Where applicable, information regarding ATOL protection or other relevant financial protection will be provided as part of the booking documentation.

You should review your booking documentation carefully to understand what financial protection applies to your particular arrangements.

22. OUR LIABILITY

Nothing in this Agreement excludes or limits any liability that cannot legally be excluded or limited.

Where Soléa acts as an agent or travel adviser for a third-party supplier, we are not responsible for the acts or omissions of that supplier except to the extent that we are legally responsible.

Where we are legally responsible for our own services, our liability will be determined in accordance with applicable law.

Nothing in this Agreement affects your statutory consumer rights.

23. COMPLAINTS

If something goes wrong with a travel service during your journey, you should notify the relevant supplier as soon as reasonably possible and give them an opportunity to resolve the issue.

Where appropriate, you should also contact Soléa so that we can assist with communication or coordination.

We will endeavour to review and respond to complaints fairly and within a reasonable period.

24. DATA PROTECTION

We process your personal information in accordance with applicable data protection legislation and our Privacy Policy.

To arrange travel on your behalf, it may be necessary to share relevant information with Fora Travel, travel suppliers and other service providers.

You acknowledge that such sharing may be necessary to provide the services you have requested.

Please refer to our Privacy Policy for further information about how your personal information is collected, used and protected.

25. INTELLECTUAL PROPERTY

Any bespoke itinerary, written research, recommendations or other materials prepared by Soléa are provided for your personal use.

Unless otherwise agreed, our original materials remain the intellectual property of Soléa or the relevant rights holder.

You may not reproduce, resell, publish, distribute or commercially exploit our materials without our prior written permission.

26. RELATIONSHIP WITH OUR WEBSITE TERMS

This Client Travel Agreement should be read together with the Soléa Travels Co. Website Terms & Conditions.

The Website Terms & Conditions continue to govern your use of our website and other matters addressed within those Terms.

If a provision of this Agreement specifically relates to your engagement as a travel client, that provision will apply to the relevant travel service.

27. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time to reflect changes to our services, business practices or applicable legislation.

The version applicable to your engagement will generally be the version provided or made available to you when you engage our services, unless a change is required by law.

28. GOVERNING LAW

This Agreement and any dispute arising from our relationship with you shall be governed by the laws of England and Wales, except where applicable consumer law provides otherwise.

Nothing in this clause prevents you from relying on mandatory consumer protections applicable in your country of residence where those protections cannot lawfully be excluded.

29. CLIENT ACKNOWLEDGEMENT

By engaging Soléa Travels Co., you acknowledge that:

  • you have read and understood this Client Travel Agreement;

  • you agree to these terms;

  • you understand that third-party supplier terms may apply to your travel arrangements;

  • you understand that prices and availability may change before confirmation;

  • you understand that cancellation and amendment conditions vary by supplier;

  • you are responsible for providing accurate traveller information;

  • you are responsible for ensuring that you hold the necessary travel documentation;

  • you understand the importance of appropriate travel insurance; and

  • you understand the role Soléa plays in advising, planning and coordinating your travel.

Where a separate booking confirmation, supplier agreement or other contractual document applies to your travel arrangements, you agree to review and comply with the applicable terms.
